1. Acceptance of Terms

By accessing or using Roamly (“the Service”), provided by Roamly, Inc. (“we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Roamly is a travel planning platform that helps you discover destinations, create itineraries, and organize your trips. The Service may include AI-powered recommendations, mapping tools, and collaborative planning features.

3. Account Registration

To use certain features, you must create an account. You agree to provide accurate information and keep your account credentials secure. You are responsible for all activity that occurs under your account.

4. User Content

You retain ownership of content you create on Roamly, including trip plans, notes, and reviews. By posting content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable (solely to our service providers) license to host, store, reproduce, adapt (for technical formatting), display, and distribute your content as necessary to operate, improve, and promote the Service. This license ends when you delete your content or your account, except where your content has been shared with collaborators or published publicly and they have retained copies, or where retention is required by law.

You agree not to post content that:

  • Violates any applicable law or regulation
  • Infringes on the intellectual property rights of others
  • Contains harmful, abusive, or misleading material
  • Attempts to interfere with the operation of the Service

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to any part of the Service
  • Use automated means to scrape or collect data from the Service
  • Use the Service or its content to develop, train, or improve any machine learning or artificial intelligence model
  • Reverse engineer, decompile, or disassemble any part of the Service, except where such restriction is prohibited by law
  • Resell, sublicense, or commercially exploit the Service without our consent
  • Interfere with or disrupt the Service or its infrastructure
  • Impersonate any person or entity

6. Third-Party Services

The Service may integrate with or link to third-party services (e.g., mapping providers, flight and hotel booking platforms). We are not responsible for the content, accuracy, or practices of third-party services. Your use of third-party services is governed by their respective terms.

7. AI-Generated Content

Roamly uses artificial intelligence, including third-party large language models from Google and Anthropic, to power features such as our travel companion, itinerary optimization, destination recommendations, and content discovery.

How AI Is Used

  • Travel Companion: An AI chat assistant that answers questions about your trip, suggests places, and helps refine your itinerary
  • Itinerary Optimization: AI-powered reordering and scheduling of your daily plans based on location, opening hours, and travel time
  • Destination Discovery: AI-assisted summaries and recommendations drawn from publicly available travel content

What Data AI Receives

When you use AI-powered features, we send relevant context to our AI providers. This may include your trip details (destinations, dates, places in your itinerary), conversation messages, and travel preferences. We do not send your password, payment information, or data from other users’ private trips. For more detail, see Section 4 of our Privacy Policy.

Limitations and Your Responsibility

AI-generated content is provided for informational and planning purposes only. It is not professional travel advice. AI systems can produce inaccurate, outdated, or incomplete information. Specifically:

  • Business hours, pricing, and availability may be outdated or incorrect
  • Safety information or travel advisories may not reflect current conditions
  • Recommended locations may have permanently closed, moved, or changed
  • Flight and hotel details should always be verified directly with the provider before booking

You are solely responsible for verifying the accuracy of AI-generated information before relying on it. Roamly is not liable for any loss, injury, inconvenience, or expense arising from your reliance on AI-generated content, including but not limited to missed reservations, travel to unsafe areas, or costs incurred based on inaccurate recommendations.

8. Intellectual Property

Our Ownership

The Service and all materials within it — including but not limited to the software, source code, algorithms, AI prompts and pipelines, user interface, visual design, design system, text, graphics, logos, curated and aggregated data, compilations, and the selection and arrangement thereof — are owned by Roamly, Inc. or its licensors and are protected by copyright, trademark, trade secret, trade dress, patent, and other intellectual property laws of the United States and other countries. Except for the limited license granted below, nothing in these Terms transfers any right, title, or interest in the Service to you. All rights not expressly granted are reserved by Roamly, Inc.

Your Limited License

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial travel planning. This license terminates automatically if you breach these Terms.

Restrictions

Except as expressly permitted in writing by us, you may not:

  • Copy, modify, distribute, publicly display, or create derivative works based on the Service or any part of it
  • Extract, reproduce, or redistribute our curated content, aggregated data, or AI-generated summaries outside the Service, whether manually or by automated means
  • Remove, obscure, or alter any copyright, trademark, or other proprietary notices
  • Frame, mirror, or embed any part of the Service within another product or website
  • Build a competing product or service using, or derived from, the Service or its content

Trademarks

“Roamly,” the Roamly logo, and all related names, logos, product and feature names, and slogans are trademarks of Roamly, Inc. You may not use them without our prior written permission, including in any way that suggests sponsorship, endorsement, or affiliation. All other trademarks appearing on the Service are the property of their respective owners.

Feedback

If you send us ideas, suggestions, or other feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate that feedback for any purpose, without compensation or attribution to you, and without any obligation of confidentiality.

Aggregated and De-identified Data

We may collect and use aggregated, anonymized, or de-identified data derived from use of the Service (such as usage statistics and travel trends) for any lawful purpose, provided it does not identify you.

Copyright Complaints (DMCA)

We respect the intellectual property rights of others and expect users to do the same. If you believe content on the Service infringes your copyright, send a notice compliant with the Digital Millennium Copyright Act to legal@roamly.io with the subject line “DMCA Notice,” including: (a) identification of the copyrighted work, (b) the location of the allegedly infringing material, (c) your contact information, (d) a statement of good-faith belief that the use is unauthorized, (e) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf, and (f) your physical or electronic signature. We will remove or disable access to infringing material and may terminate the accounts of repeat infringers.

9. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure.

10. Limitation of Liability

To the maximum extent permitted by law, Roamly, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of data, travel disruptions, or reliance on AI-generated content.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause. You may delete your account at any time. Upon termination, your right to use the Service ceases immediately.

12. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated through the Service or via email. Continued use of the Service after changes constitutes acceptance of the updated terms.

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in San Francisco, California.
